  1. INTRODUCTION. These Collaboration Rebate Terms (' Rebate Terms ') for the Snowflake Collaboration Rebate Program described herein (the ' Rebate Program ') are incorporated into and made a part of the written subscription agreement for the Service entered into between Customer and Snowflake, or if no such written agreement exists, the Snowflake Terms of Service located at the Website (or such successor URL as may be designated by Snowflake) (the ' Snowflake Terms of Service '), (the applicable agreement, the ' Customer Agreement '). • 2.16. 'Website' means https://www.snowflake.com/en/legal/ (or such successor URL as may be designated by Snowflake).
  1. ELIGIBILITY. Customer is eligible to participate in the Rebate Program if Customer uses the Service to share Product(s), as a Provider, with other Snowflake customer(s), as Consumer(s), subject to the Data Sharing Terms.

4. REBATE CALCULATIONS .

  • 4.1. Rebate Tiers. Under the Rebate Program, Customer will receive a Rebate based on the number of Stable Edges that Customer's Product(s) have generated, in accordance with the following tiers:
  • 4.1.1. Tier 1. If Customer has 50 or more Stable Edges at the start of the calendar month, Customer will receive a Rebate equal to 50% of the value of the total Snowflake Credits consumed by a Consumer that are attributed to a Qualifying Job, divided by the number of Snowflake customers participating in the Qualifying Job by either contributing data or native application(s) accessed by such Qualifying Job, or performing such Qualifying Job, during that calendar month (' Qualifying Job Credits ').
  • 4.1.2. Tier 2. If Customer has between 25 and 49 Stable Edges at the start of the calendar month, Customer will receive a Rebate equal to 25% of the Qualifying Job Credits.
  • 4.1.3. Tier 3. If Customer has between 10 and 24 Stable Edges at the start of the calendar month, Customer will receive a Rebate equal to 15% of the Qualifying Job Credits.
  • 4.1.4. Tier 4. If Customer has between 0 and 9 Stable Edges at the start of the calendar month, Customer will receive a Rebate equal to 10% of the Qualifying Job Credits.
  • 4.2. Currency, Region, Edition. Snowflake will calculate Rebate(s) based on the currency, price per Snowflake Credit, Region, and Edition applicable to Customer and Customer's Product(s) under the Customer Agreement.
  • 4.3. Example Calculation. At the start of the calendar month, Provider B has 15 Stable Edges and Provider C has 55 Stable Edges. In that same month, Provider B shares a native application with Consumer A, and Provider C shares a database with Consumer A. Consumer A consumes a total of 6 Snowflake Credits by executing Qualifying Jobs that access both Provider B's native app and Provider C's database. The Qualifying Job Credits is calculated by taking the 6 Snowflake Credits consumed by Consumer A and dividing it by the 3 Snowflake customers (Consumer A and Providers B and C) who participated in the Qualifying Job. Provider B, therefore, receives a Rebate equal to 10% of the Qualifying Job Credits of two Snowflake Credits, and Provider C receives a Rebate equal to 50% of the Qualifying Job Credits of two Snowflake Credits.
  1. QUALIFYING JOBS. The following jobs do not constitute Qualifying Jobs:
  • 5.1. Queries executed from Service Accounts that are set up by and/or controlled by Customer, such as Reader Accounts and Service Accounts contained within Customer's Organization;
  • 5.2. Queries that (i) are executed from Snowpark Container Services containers, as such feature is described in the Documentation, including containers created by or for Customer's Product(s), and (ii) do not otherwise access Customer's Product(s); and
  • 5.3. Executed queries for which Snowflake does not attribute Customer's Product as the source of the data accessed.

6. REBATE APPLICATION AND LIMITATIONS.

  • 6.1. Application to Balance. The Rebate collected pursuant to these Rebate Terms will be automatically applied, at the end of each calendar month, to the Balance. The total aggregate Rebate that Customer has accrued and that has been applied will be displayed on Customer's Snowflake invoices. If Customer believes that a Rebate has not been properly issued or applied to Customer's Balance, Customer may submit an inquiry to Snowflake at accountsreceivable@snowflake.com within sixty (60) days of the date of the applicable invoice; Snowflake will not review inquiries submitted thereafter.
  • 6.2. Rebate Cap . The Rebate that Customer can earn during a calendar month is capped at the Customer's Balance for that calendar month. Rebates do not roll over from month to month, and can only be applied to Customer's Balance at the end of the calendar month in which the applicable Rebate was earned.
  • 6.3. Snowflake Decisions. Snowflake's decisions and records regarding Rebate and Stable Edge calculations and Rebate tier eligibility for the purposes of the Rebate Program will be final and binding on Customer in all respects.
  • 6.4. Rebate Characteristics . Rebates are calculated at the Organization level and cannot be combined across multiple Organizations. Rebates are promotional in nature and have no cash value. Under no circumstances are Rebates redeemable for cash or cash-equivalents. Rebates have no value outside this Rebate Program. Rebates cannot be assigned, exchanged, sold, traded, bartered, purchased, gifted or otherwise transferred. Any purported transfer in violation of the foregoing sentence will be void. The earning of Rebates does not entitle Customer to any vested rights, and subject to Section 11.1 (Changes to Program and Terms), Snowflake does not guarantee in any way the continued availability of the Rebate Program.
  • 6.5. Expiration of Rebates. If the Customer Agreement expires or terminates, these Rebate Terms are terminated. In such case, or if Customer's use of the Service is suspended or terminated for any reason, Customer forfeits any Rebates earned but not issued prior to the effective date of such suspension, expiration or termination, as applicable.
  • 6.6. Taxes. Customer will be solely responsible for any and all tax liability arising out of any Rebates received in connection with the Rebate Program.
  1. RESERVATION OF RIGHTS. Snowflake reserves the right, in its sole and absolute discretion, to do one or more of the following:
  • 7.1. Prohibit or modify the application of the Rebate Program in combination with other rebate programs, discounts, and/or promotions;
  • 7.2. Investigate, delay, suspend, recalculate, reduce, or revoke any Rebate that (i) Snowflake suspects is related to non-Qualifying Jobs; or (ii) Snowflake deems to have been issued (a) in error, (b) as the result of any actual or suspected fraudulent or dishonest activity (including without limitation, the use of any system, macro, script, or both to manipulate the Rebate Program), or (c) as the result of any actual or suspected breach of these Rebate Terms or the Customer Agreement;
  • 7.3. Bar further Rebates from being issued to Customer based on any actual or suspected activities described in the foregoing Section 7.2;
  • 7.4. Adjust Customer's balance of unconsumed Capacity to offset any recalculated, invalidated, reduced, or revoked Rebates; or
  • 7.5. Invalidate, reduce, or revoke any Rebates that cannot be verified and/or calculated to the satisfaction of Snowflake.
  1. COMPLIANCE WITH LAWS. Customer represents and warrants that Customer is permitted under applicable law to accept any and all Rebates under this Rebate Program. If Customer is a U.S. governmental entity, Customer acknowledges and agrees that Rebates are provided without restraints or expectations for favorable treatment in connection with any current or future opportunity.
  2. TERMINATION. Either party may terminate these Rebate Terms for convenience at any time. If Customer is dissatisfied with any aspect of the Rebate Program at any time, Customer's sole and exclusive remedy is to terminate these Rebate Terms by contacting Snowflake at legalnotices@snowflake.com.
  3. LIMITATION OF LIABILITY. IN NO EVENT SHALL SNOWFLAKE BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL AND/OR INCIDENTAL LOSS, EXEMPLARY OR OTHER DAMAGES RELATED TO THESE REBATE PROGRAM TERMS, INCLUDING ANY DIRECT OR INDIRECT: (i) LOSS OF DATA, (ii) LOSS OF INCOME, (iii) LOSS OF OPPORTUNITY, (iv) LOST PROFITS, AND (v) COSTS OF RECOVERY OR ANY OTHER DAMAGES, HOWEVER CAUSED AND BASED ON ANY THEORY OF LIABILITY, AND WHETHER OR NOT FOR BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), VIOLATION OF STATUTE, OR OTHERWISE, AND WHETHER OR NOT SNOWFLAKE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SNOWFLAKE DISCLAIMS ALL LIABILITY HEREUNDER. SOME JURISDICTIONS DO NOT ALLOW LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO CUSTOMER.

11. MISCELLANEOUS.

  • 11.1. Changes to Program and Terms. Notwithstanding anything in these Rebate Terms to the contrary, Snowflake may update or change the Rebate Program and these Rebate Terms, including by posting updated terms on the Website. Changes to these Rebate Terms will become effective immediately. If Customer does not agree to these Rebate Terms, Customer may terminate the Rebate Terms in accordance with Section 9 (Termination).
  • 11.2. Communications. By participating in the Rebate Program, Customer agrees to receive e-mail communications from Snowflake regarding the Rebate Program, including without limitation, communications regarding Rebate(s).
  • 11.3. Headings. Section headings are inserted for convenience only and shall not affect the construction of these Rebate Terms.
  • 11.4. Severability. If a court of competent jurisdiction holds any provision of these Rebate Terms to be unenforceable or invalid, that provision will be limited to the minimum extent necessary so that these Rebate Terms will otherwise remain in effect.
  • 11.5. Waivers. No waiver will be implied from conduct or failure to enforce or exercise rights under these Terms, nor will any waiver be effective unless in a writing signed by a duly authorized representative on behalf of the party claimed to have waived.
  • 11.6. Entire Agreement. These Rebate Terms, together with the Customer Agreement, are the complete and exclusive statement of the mutual understanding of the parties and supersede and cancel all previous written and oral agreements and communications relating to the subject matter of these Rebate Terms.
  • 11.7. Conflicts . In the event of any conflict between these Rebate Program Terms and the Agreement, these Rebate Terms will control with respect to the subject matter herein. Except as specifically set forth in these Rebate Terms, all terms and conditions of the Agreement remain in full force and effect.
