These Bring Your Own Cloud Subscriber Terms (“Agreement”) are between Asana, Inc. (“Asana”) and the party identified as the customer in the applicable Order Form (“Customer”), and are effective as of the date the parties enter into an applicable Order Form incorporating these terms (the “Effective Date”). This Agreement applies exclusively where the applicable Order Form specifies that Customer is purchasing BYOC Services for deployment within a Customer Cloud Environment.
In the event of a conflict among the documents making up this Agreement, the main body of this Agreement (Sections 1 through 11, inclusive) will prevail, except that any Order Forms, Product-Specific Terms, StackAI Data Processing Addendum, or any other exhibit, attachment, or addendum will control over the Agreement for its specific subject matter.
1. Definitions
1.1 “Affiliate” means any entity that Controls, is Controlled by, or is under common Control with Asana or Customer, where “Control” means ownership of more than 50% of the voting interests of the subject entity or the power to direct the management and policies of an entity, whether through ownership, by contract, or otherwise.
1.2 “Customer Cloud Environment” means the third-party cloud service environment (e.g., Amazon Web Services, Microsoft Azure, or Google Cloud Platform) procured, owned, and operated by Customer (or by a third-party cloud provider on Customer’s behalf under a separate agreement between Customer and such provider) into which the BYOC Services are deployed and within which Customer Data is stored and processed.
1.3 “Customer Data” means all information that Customer or its End Users submit to the BYOC Services.
1.4 “Customer Infrastructure” means the Customer Cloud Environment and all hardware, software, network configurations, security controls, access management systems, encryption mechanisms, and other technical components provisioned, configured, and maintained by or on behalf of Customer to support the operation of the BYOC Services.
1.5 “Distributed Software” means the proprietary Asana software components distributed to Customer for installation and operation within the Customer Cloud Environment as part of the BYOC Services. Distributed Software excludes all elements of the Customer Infrastructure and any third-party software or services procured by Customer independently.
