LinkedIn Sponsorship & Non-Media Offering Terms
Privacy Policy Cookie Policy
These Sponsorship Terms were last updated on August 7, 2026. Sponsorships subject to an Insertion Order ("IO") with an effective date before August 7, 2026, are governed by the terms available at this link. Sponsorships with an effective date of August 7, 2026, or later are governed by these Sponsorship terms.
**1. Applicable Terms.
** 1.1. **From time to time, LinkedIn may make available various non-media offerings (such as marketing benefits, including, but not limited to, custom, co‑branded, or bespoke deliverables) or sponsorship opportunities (“Sponsorship”), each as further described in an Insertion Order, to you (also referred to as “Advertiser”). Your use of any Sponsorship shall be governed by (i) these Sponsorship Program and Non-Media Offering Terms (the “Sponsorship Terms”); (ii) the executed Insertion Order associated with that Sponsorship; and (iii) the advertising agreement governing the access and use of LinkedIn’s advertising products, programs, and services (“Advertising Agreement”).
1.2. In the event of any conflict, the order of precedence solely as it pertains to the Sponsorships shall be: (i) these Sponsorship Terms, (ii) the applicable Insertion Order, and (iii) the Advertising Agreement.
1.3. LinkedIn may modify these Sponsorship Terms at any time, including to introduce new Sponsorship formats. Continued use of your Sponsorship following any such modification constitutes acceptance of the revised Sponsorship Terms. LinkedIn may suspend or terminate the Sponsorship, or your participation in it, at any time in accordance with these Sponsorship Terms.
**2. Sponsorship Program Overview. **
**2.1. **Your specific Sponsorship and any applicable, additional terms and conditions (“Requirements”), such as associated fees and costs and relevant payment terms, will be set forth on an Insertion Order. If you do not meet the applicable Requirements, LinkedIn may withhold or terminate some or all of the Sponsorship without any liability to you. LinkedIn reserves the right to substitute comparable or greater offerings under a Sponsorship (as reasonably determined by LinkedIn) at any time if any aspect of a Sponsorship cannot be delivered as described. Any such exchange of such offerings or opportunities under a Sponsorship shall be documented in writing.
2.2. LinkedIn retains sole editorial discretion over the content, format, topics, speakers, and production of any Sponsorship and any materials or content created (e.g., interim drafts, reporting on performance or other insights), provided, or distributed in connection with it (“Created Materials”). LinkedIn may decline, modify, or remove any part of the Created Materials (including any of Your Materials, as defined below) that it reasonably believes violates applicable law or LinkedIn policy.
3. Your Sponsorship Responsibilities.
If you or someone on your behalf submits information or materials, including any logos or brand features, in connection with the Sponsorship (“Your Materials”), you are solely responsible for the completeness and accuracy thereof. If LinkedIn requests any information or materials from you, you will promptly provide such information, LinkedIn is not responsible for any delays in performance as a result of your failure to promptly provide Your Materials or your failure to perform any of your obligations as identified in the IO or mutually agreed upon in writing.
If any deliverables are created for you as part of a Sponsorship (e.g., custom videos or marketing materials), you further are solely responsible for your use of such deliverable, and LinkedIn shall have no responsibility or liability for your use or distribution of such deliverable.
4. Termination.
4.1. Either party may terminate an Insertion Order and the associated Sponsorship Terms if the other party is in material breach of such Insertion Order and the material breach remains uncured for a period of thirty (30) days following receipt of written notice specifying the nature of the breach.
**4.2. **LinkedIn may terminate any Sponsorship (in whole or in part) and its related Insertion Order immediately upon written notice if:
(a) you fail to pay any amounts due under the Sponsorship on the applicable due date and remain in default fifteen (15) days after receiving written notice from LinkedIn;
(b) there is a change in your name or brand that, in LinkedIn’s reasonable judgment, materially impacts the Sponsorship;
(c) you undergo a merger or sale of all or substantially all of your assets or stock;
(d) you materially breach your obligations under Sections 3 (Your Sponsorship Responsibilities), 5 (Ownership and Intellectual Property Rights), or 6.1 (Advertiser Representations and Warranties); or
(e) you violate or LinkedIn suspects that you have violated applicable law or otherwise engage in activities that, in LinkedIn’s reasonable opinion, expose LinkedIn or its affiliates to reputational, legal, or regulatory risk if LinkedIn continues to perform the Sponsorship.
**4.3. **Any termination or expiration of an Insertion Order or these Sponsorship Terms shall be without prejudice to any rights or remedies accrued prior to termination and shall not affect any provision that by its nature is intended to survive termination, including payment obligations, intellectual property rights, indemnification, limitations of liability, and governing law. Termination of any individual Sponsorship’s Insertion Order will not terminate any other Insertion Order. If all Insertion Orders regarding Sponsorships have expired or been terminated, then the Sponsorship Terms will automatically terminate. For clarity, the termination of these Sponsorship Terms or any Insertion Order will not terminate any other agreement between you and LinkedIn, including the Advertising Agreement.
5. Ownership and Intellectual Property Rights.
**5.1. **Subject to your ownership in Your Materials and as otherwise expressly set forth on the applicable Insertion Order, LinkedIn retains all right, title, and interest in and to any and all (i) Created Materials and all intellectual property rights therein, and (ii) all trademarks, service marks, trade names, logos, and brand identifiers provided by LinkedIn in connection to the Sponsorship (“LinkedIn Marks”) ((i) and (ii) collectively, “LinkedIn IP”).
**5.2. **As between LinkedIn and you, you retain all right, title, and interest to Your Materials and all intellectual property rights therein. You grant LinkedIn a limited, non‑exclusive, non‑transferable, royalty‑free license to reproduce, display, distribute, and otherwise use Your Materials solely in connection with the Sponsorship and as reasonably necessary for LinkedIn to perform its obligations or exercise its rights under these Sponsorship Terms and any applicable Insertion Order.
**5.3. **To the extent that LinkedIn agrees in writing to incorporate any LinkedIn IP into a Created Material for which you have been granted usage rights under the applicable IO, you may use such LinkedIn IP solely as incorporated in that Created Material and solely to exercise those usage rights. You will not use LinkedIn Marks in any manner that violates applicable law or suggests endorsement, sponsorship, or affiliation beyond the scope of the applicable IO, and all other use of LinkedIn IP is subject to LinkedIn's prior written approval. All permitted use of LinkedIn Marks must comply with LinkedIn’s Branding Guidelines located at: https://brand.linkedin.com/policies. If there are any violations, LinkedIn will notify you, and you will promptly correct any such violation or discontinue such use.
**5.4. **Nothing in these Sponsorship Terms grants either party any ownership interest in the other party’s intellectual property, and all goodwill arising from use of each other’s trademarks, service marks, trade names, logos, and brand identifiers shall inure exclusively to the benefit of the owner of such trademarks, service marks, trade names, logos, and brand identifiers.
5.5. If you choose to provide suggestions and feedback to LinkedIn, you agree that LinkedIn can (but does not have to) use and share such feedback for any purpose without compensation to you.
6. Representations and Warranties.
**6.1. Advertiser Representations and Warranties. **
(a) You represent and warrant that Your Materials, including any statements or claims made about your products or services: (i) do not infringe or misappropriate the intellectual property rights or any other rights of any third party, including rights of privacy or publicity; (ii) comply with the LinkedIn Ad Policies (currently available at https://www.linkedin.com/legal/ads-policy); and (iii) comply with all applicable local, state, federal, and foreign laws, rules, regulations, and codes.
(b) You represent and warrant that you have obtained all necessary releases, waivers, consents, permissions, and authorizations (individually, a “Release”, and collectively, “Releases”) from any employee, contractor, spokesperson, or other representative of yours that appears in or provides materials for the Sponsorship. LinkedIn may request copies of such Releases, and you agree to provide them promptly upon request.
**6.2. Mutual Warranties. **Each party represents and warrants that it will comply with all applicable local, state, federal, and foreign laws and regulations, including laws relating to privacy, data protection, marketing communications, advertising disclosures, and product endorsements in connection with its performance under these Sponsorship Terms.
6.3. Warranty Disclaimer. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL SPONSORSHIPS AND OTHER CREATED MATERIALS ARE PROVIDED “AS IS”, “AS AVAILABLE,” AND “WITH ALL FAULTS.” LINKEDIN EXPRESSLY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS OR IMPLIED, WRITTEN OR ORAL, WITH RESPECT TO ANY SPONSORSHIP, GOODS, SERVICES, OR BENEFITS PROVIDED UNDER ANY SPONSORSHIP OR APPLICABLE INSERTION ORDER, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON‑INFRINGEMENT.
7. Limitation of Liability.
7.1. To the fullest extent permitted by law, neither party, including its respective affiliated companies, will be liable to the other in connection with these Sponsorship Terms for lost profits or lost business opportunities, loss of data, or any indirect, incidental, consequential, special, or punitive damages.
7.2. Neither party, including its respective affiliated companies, will be liable to the other in connection with these Sponsorship Terms for an amount that exceeds the greater of (a) five times (5x) the total amounts paid or payable to LinkedIn under the applicable Insertion Order for the Sponsorship that gave rise to the claim during the 1-month period before the event giving rise to the liability or (b) USD $100.00.
**7.3. **These limitations of liability do not apply to a party's (i) payment, confidentiality, or indemnification obligations; (ii) liability for fraud, gross negligence, or intentional misconduct; (iii) liability for death or personal injury; or (iv) violation of the other party's intellectual property rights.
8. Indemnification.
You agree to indemnify, defend, and hold LinkedIn, its parent and affiliates, and their respective officers, directors, employees, and agents harmless from and against any and all losses, damages, and costs (including reasonable attorneys’ fees) arising out of or relating to third-party claims or proceedings against LinkedIn resulting from: (i) your, your agents', contractors', or employees' negligent acts or willful misconduct in connection with your performance under these Sponsorship Terms or (ii) your breach of these Sponsorship Terms, Insertion Order, or Advertising Agreement; or (iii) Your Materials.
9. Publicity Restrictions.
You may not issue press releases or public announcements relating to the Sponsorship without LinkedIn’s prior written consent.
10. Miscellaneous.
**10.1. Force Majeure. **Neither you nor LinkedIn will be liable to the other for a delay in performing, or a failure to fulfill obligations hereunder if such failure is due to causes beyond its reasonable control, including, without limitation, acts of God, earthquakes, fires, floods, embargoes, catastrophes, sabotage, utility or transmission failures, governmental prohibitions or regulations, national emergencies, insurrections, riots, wars, pandemic/epidemic illness, outbreaks or quarantines, strikes, work stoppages or other labor difficulties which did not result from the acts or omissions of such party, its employees or agents, or outages of any part of the internet (each, a “Force Majeure Event”). The time for any performance required hereunder will be extended by the duration of such Force Majeure Events.
**10.2. Waiver. **The failure by either party to enforce any provision will not constitute a present or future waiver of such provision nor limit the party’s right to enforce such provision at a later time. All waivers must be in writing to be effective and signed by the party waiving its rights.
10.3. Severability. If any portion of these terms is held to be invalid or unenforceable, the remaining portions will remain in full force and effect. Any invalid or unenforceable portion will be interpreted to effect the original intent of the provision to the extent possible; otherwise, such provision will be severed without affecting the remainder.
**10.4. Entire Agreement; Translation. **The Insertion Order, together with these Sponsorship Terms and any applicable Advertising Agreement, constitutes the entire agreement between you and LinkedIn regarding the Sponsorship and supersedes all prior or contemporaneous agreements or communications, whether written or oral. If a translation of these Sponsorship Terms or an Insertion Order is provided, the English‑language version will control in the event of a conflict.
**10.5. Counterparts; Electronic Signatures. **An Insertion Order may be executed in counterparts, including by facsimile or electronic signature in a format approved by LinkedIn, each of which will be deemed an original, and all of which together will constitute one and the same instrument.
