This RBL Bank Ltd. Services Addendum ("RBL Addendum") supplements the Stripe Services Agreement (including the General Terms, the Stripe Financial Services Terms, and the Stripe Payments Terms) (together, the “Agreement”) and provides additional terms applicable to the Stripe Payments Services. Any terms used but not defined in this RBL Addendum will have the meaning provided in the Agreement.
This RBL Addendum constitutes a legal agreement between User, Stripe, and RBL Bank Ltd. ("RBL"). To use the Stripe Payments Services provided through User’s Agreement with Stripe, User understands and agrees that Stripe or RBL may enforce, and that RBL shall be an express third-party beneficiary of, any provisions of the Agreement that relate to User’s use of Stripe Payments Services provided in conjunction with RBL. Stripe or RBL may also terminate this RBL Addendum at any time, which may limit or terminate User’s ability to use Stripe Payments Services.
User must accept all of the terms and conditions of this Addendum to use Stripe Payments Services provided by Stripe. If User does not accept them, User may not use these Stripe Payments Services.
1. Purpose of this Addendum
When User’s Customer pays User through Stripe, they have the option of paying User through a funding source offered on the Stripe Website including a credit or debit card funded payment. Since User may be the recipient of a credit or debit card funded payment, Visa U.S.A., Inc. and Visa International ("Visa"), and MasterCard International Incorporated ("MasterCard") (collectively the "Networks") require that User enter into a direct contractual relationship with a bank that is a member of the Networks. However, by using Stripe Payments Services User is not establishing a depository or any other account with RBL.
RBL is not responsible for the provision of any Services by Stripe or User’s use of the Services for User’s business. RBL is also not responsible for providing customer service to User to resolve any issues User may have related to User’s use of the Services; however, as described in Section 11 of this RBL Bank Ltd. Services Addendum, User should contact RBL in the event that User is unable to resolve any complaints directly with Stripe. User is solely responsible for providing support to User’s Customers for all issues related to User’s products and services.
2. Compliance with Card Network Rules
Where User uses the Stripe Payments Services to accept charges from payment cards, User will comply with the Card Network Rules and limitations on use identified in the Agreement, including the Card Network Rules applicable to acceptance of MasterCard and Visa branded payment cards. These include guidelines, monitoring programs, and activity reporting (including excessive credits, chargebacks, or deposit). Under the Card Network Rules, certain activity may subject User to Disputes, fees, fines, settlement delays, withholdings, audits of User’s processing activity, or termination of this RBL Addendum. Without limiting the foregoing, User specifically agrees to:
-
Only submit Transactions authorized by the cardholder;
-
Only accept payment for the sale of products or services, and receipt of bona fide donations, conducted by User pursuant to User’s business as indicated on User’s application and not for any Prohibited or Restricted Business;
-
Submit a Transaction for the full amount owed by the Customer for the Transaction except where User and the Customer agree on a partial shipment (such as receiving a portion of an order), or where the Transaction qualifies for delayed delivery or special order deposits (such as paying for a deposit on a custom-built product);
