These Terms of Service (the “Terms”) form an agreement between Superhuman Platform Inc. , formerly known as Grammarly, Inc. (“Superhuman”, “us”, “we” or “our”) and you or the Entity you represent (“you” or “your”). **These Terms do not apply to our various enterprise-tier products and services, which are provided as subscriptions through our enterprise sales team to organizations (collectively, the “Enterprise-Tier Services”). If your organization has purchased the Enterprise-Tier Services, the governing terms and conditions will be our Customer Business Agreement. **

Please read these Terms carefully as they govern your access to and use of our websites (each, a “Site”); our products and services, including mobile and desktop applications (“Apps”), application programming interfaces (“APIs”), and software development kits (“SDKs”). References to the “Services” in these Terms collectively refer to all our products and services, including, when applicable, the Sites, Apps, APIs, and SDKs. PLEASE BE AWARE THAT SECTION 12 CONTAINS PROVISIONS GOVERNING HOW TO RESOLVE DISPUTES BETWEEN YOU AND SUPERHUMAN. AMONG OTHER THINGS, SECTION 12 INCLUDES AN AGREEMENT TO ARBITRATE (“ARBITRATION AGREEMENT”) WHICH REQUIRES, WITH LIMITED EXCEPTIONS, THAT ALL DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING AND FINAL ARBITRATION. SECTION 12 ALSO CONTAINS A CLASS ACTION AND JURY TRIAL WAIVER. PLEASE READ SECTION 12 CAREFULLY. UNLESS YOU OPT OUT OF THE ARBITRATION AGREEMENT WITHIN 30 DAYS: (1) YOU WILL ONLY BE PERMITTED TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF AGAINST US THROUGH BINDING, FINAL ARBITRATION, WITH LIMITED EXCEPTIONS, AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR OTHER REPRESENTATIVE PROCEEDING OR CLASS-WIDE ARBITRATION; AND (2) YOU ARE WAIVING YOUR RIGHT TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF IN A COURT OF LAW AND TO HAVE A JURY TRIAL. If you are a user in the European Economic Area (“EEA“), or any other country that does not allow such an arbitration agreement, Sections 12.1-12.8 do not apply to you. IF YOU SUBSCRIBE TO A PAID SUBSCRIPTION TO THE SERVICES, SUCH PAID SUBSCRIPTION WILL BE AUTOMATICALLY RENEWED FOR ADDITIONAL PERIODS OF THE SAME DURATION AS YOUR INITIAL SUBSCRIPTION PERIOD AT SUPERHUMAN’S THEN-CURRENT FEES FOR SUCH SUBSCRIPTION UNLESS YOU CANCEL OR DECLINE TO RENEW YOUR SUBSCRIPTION IN ACCORDANCE WITH SECTION 8.8 BELOW.

1. Your Acceptance of these Terms

These Terms become effective from the date you sign up for a Superhuman account, access our Services, or otherwise indicate that you accept the Terms, whichever happens first. You agree that you are not barred from using the Services under the laws of the United States, your place of residence, or any other applicable jurisdiction. If you are accepting these Terms on behalf of a company, organization, or other legal entity (an “Entity”), you agree that: (i) you have full legal authority to bind the Entity to these Terms, and (ii) all references to “you” and “your” in these Terms will refer to that Entity, unless we indicate otherwise. By checking the box indicating your acceptance of these Terms during sign-up or by accessing or using this Site or any of our Services, you agree to be bound by these Terms. If you do not accept these Terms, please refrain from accessing or using the Services.
